Terms of service

1. Parties and definitions
These terms of service (the "Terms") apply between Monile AB ("Membly", "we", "us"), company reg. no. 559273-6051, Nackagatan 3, 116 49 Stockholm, Sweden, and you as a user of Membly's services. In these Terms: • "the Service": Membly's web platform and progressive web application for association management. • "Association": the legal entity (non-profit association, economic association, sports association, etc.) that has registered an account in the Service. • "Administrator": a natural person who registers or administers an association in the Service on the association's behalf. • "Member": a natural person who belongs to an association and uses the Service through the association's account. • "User": a collective term for administrators and members.
2. The Service
Membly is software as a service (SaaS) for associations, providing tools for event management, communication (chat, feed), member management, a document archive, information pages and payment collection. The Service is provided "as is" with continuous improvements. We reserve the right to add, change or remove features. Material changes are notified in advance where possible.
3. Eligibility and account creation
To register an association in the Service, the administrator must: • Be at least 18 years old. • Be authorised to represent the association and enter into agreements in its name. • Provide accurate and complete information about the association. To create and use a personal Membly account yourself, you must be at least 13 years old. If the user is under 13, the account is created by a guardian through Membly's guardian flow, and the guardian uses the Service on the child's behalf. The age limit applies to the account, not to membership. An association may enter a person into its member register in Membly without that person receiving an account — register-only membership. Such a member never receives a login link, welcome email or invitation from us, and cannot sign in. The association is the controller of its member register and is responsible for having a lawful basis for recording the data and for providing the required information to the data subject and, where applicable, to their guardian. Membly processes that data as a processor under the data processing agreement. Each natural person may hold one (1) personal account. You are responsible for all activity that takes place via your account and must notify us immediately if you suspect unauthorised use.
4. Subscription and trial period
The Service costs SEK 2,990 per year or SEK 299 per month per association. All prices are stated including VAT (25%). The VAT amount is specified on the invoice from Stripe. For Membly Whitelabel — a version of the Service under the association's own logo, colours and name — pricing is provided on request and the terms are agreed separately. New associations are offered a free trial period of 60 days from registration. During the trial period you have full access to the Service at no cost. Thereafter the subscription renews automatically at the end of each billing period — monthly or annually, according to what you chose — until it is cancelled. Cancellation can be made at any time from the association's administration settings and takes effect at the end of the current billing period. The monthly plan has no minimum term. The annual plan is paid twelve months in advance: if you cancel early the Service continues to work until the end of the period, but no refund is given for the unused part of an already paid period. The same applies to a month already paid for. Exceptions are made where mandatory consumer protection legislation provides otherwise. Price changes are notified at least 30 days in advance by email.
5. Payment of the subscription
Payment is made by card through Stripe, monthly or annually according to the billing period you chose. In the event of non-payment we send a reminder by email. If payment is still not made: • After 30 days: access to the Service is restricted to export functions. • After 90 days: the association's data is erased in accordance with our privacy policy. The association is responsible for keeping its payment details up to date.
6. Payment feature for associations
Associations that choose to activate Membly's payment feature can collect membership fees and shared expenses digitally via Stripe Connect Standard. Separate Payment and payout terms apply to this feature and form an integral part of these Terms.
7. Right of withdrawal (Swedish Distance Contracts Act)
Under the Swedish Distance Contracts Act (2005:59), consumers have a statutory right of withdrawal of 14 days from the conclusion of the contract. Because Membly is a digital service supplied immediately, at registration we request your express consent for the service to begin during the withdrawal period and for the right of withdrawal to lapse once the service has been fully delivered. If you do not wish to give this consent, the service may not begin until the withdrawal period has expired. To exercise the right of withdrawal during the period, contact us at legal@membly.app. You may use the standard withdrawal form issued by the Swedish Consumer Agency (available at konsumentverket.se). Note: associations, as legal entities, are not covered by the consumer protection of the Distance Contracts Act when the Service is used in business or equivalent organised activity.
8. User-generated content
You and your association retain all rights to the content you create in the Service — posts, chat messages, documents, event descriptions, images and other material (the "Content"). By using the Service, you grant Membly a limited, non-exclusive, royalty-free, worldwide licence to store, back up, display and technically process the Content — solely to the extent necessary to provide the Service to you. The licence covers, for example, display to the members entitled to see the content, storage in the database and in backups, and technical conversion (e.g. image compression). Membly will not: • Use the Content for marketing without your express consent. • Train AI models on your Content beyond what is required for your own association-specific AI features (where the settings apply per association). • Share the Content with third parties for purposes other than the sub-processors required to deliver the Service (see the privacy policy). • Sell the Content. The licence ends when the Content is deleted or when the contractual relationship ends (with the exception of backups, which are subject to the ordinary rotation schedule).
9. Acceptable use
You undertake not to use the Service for: • Unlawful purposes or breaches of applicable law (including the GDPR, intellectual property law and marketing law). • Distribution of hateful, threatening, abusive, discriminatory or unlawful content. • Harassment or targeted attacks on other users. • Attempts to disrupt the operation of the Service, circumvent security mechanisms, reverse-engineer the software or scrape data automatically. • Lotteries, raffles or other chance-based fundraising without the necessary Swedish permits. • Sale of goods or services via the payment feature (which is limited to membership fees, shared expenses and contributions). We reserve the right to suspend accounts or associations that breach these rules, with reasonable notice where possible.
10. Data processing agreement
For members' personal data processed within an association, the association is the controller under the GDPR, and Membly is the processor under Article 28 of the GDPR. On registering an association, the administrator accepts Membly's data processing agreement (DPA) on the association's behalf. The DPA governs, among other things, our commitments regarding security measures, sub-processors, assistance with requests from data subjects, and the handling of personal data breaches.
11. Availability and maintenance
We aim for high availability but give no express guarantees or service level agreements (SLA) on uptime at this price point. Planned maintenance is carried out during off-peak hours where possible and is announced in advance via an in-app notice or status page. Urgent security or stability work may be carried out without notice.
12. Termination and data export
The association may cancel its subscription at any time. On cancellation: • Access to the Service is retained for the remainder of the paid period. • Within 30 days after the end of the period, the association's administrators can export all data: member list, events, documents, chat and feed history, and transaction records. • After the export window, the association's data is erased within 90 days in accordance with our privacy policy. An exception applies to data that must be retained under a legal obligation (accounting data for seven years under Chapter 7, Section 2 of the Swedish Accounting Act). Membly may terminate the agreement on 30 days' notice in the event of a material breach, or on 90 days' notice without specific cause. If Membly terminates, any unused part of a paid period is refunded.
13. Limitation of liability and force majeure
Membly's total liability towards you, on whatever basis (contract, tort, negligence or otherwise), is limited to the fees the association has paid to Membly during the last twelve (12) months before the event giving rise to the loss. Membly is not liable for indirect damage, consequential loss or loss of profit. These limitations do not apply in cases of intent or gross negligence, or where mandatory Swedish legislation provides otherwise (including consumer claims under the Swedish Consumer Sales Act (2022:260)). Neither party is liable for delay or failure to perform caused by force majeure: war, terrorism, natural disaster, pandemic, general strike, extensive infrastructure outages or other circumstances beyond the party's reasonable control.
14. Governing law and dispute resolution
These Terms are governed by Swedish law. For consumers: a dispute that cannot be resolved amicably may be examined by the Swedish National Board for Consumer Disputes (ARN), www.arn.se, or by a general court in the consumer's place of residence. For associations and business operators: disputes shall be settled by a general court, with Stockholm District Court as the court of first instance.
15. Changes and contact
We may update these Terms. Material changes are notified by email to association administrators and by a notice in the app at least 30 days before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the new terms.
